These Order Terms apply to the purchase of ConstructIQ™ Founding 10 membership. They form part of your agreement with ConstructIQ and should be read together with the ConstructIQ Terms of Service. Where these Order Terms conflict with the Terms of Service, these Order Terms govern for this purchase.
Your agreement is with DRS Capital PB, LLC, a Florida limited liability company, doing business as ConstructIQ™ ("ConstructIQ"), a wholly owned subsidiary of DRS Family Holdings, LLC, a Wyoming limited liability company. Payments are processed by Stripe. ConstructIQ may assign this agreement to an affiliate or successor under section 15 of the Terms of Service.
Founding 10 membership is an ongoing intelligence engagement. ConstructIQ works continuously against your Buy Box™, target markets and stated priorities, and delivers the Revenue Intelligence Brief™ and associated intelligence on the agreed cadence, refining the mandate as your priorities evolve.
Founding 10 membership is sold on a twelve (12) month non-cancellable Initial Term, beginning on your activation date. Activation occurs when your payment is settled and your membership is recorded by ConstructIQ.

Please read this section carefully. It is the commercial consideration for the Founding 10 rate.
By purchasing Founding 10 membership you commit to the full twelve (12) month Initial Term. You may not cancel for convenience during the Initial Term.
If you selected the Monthly option, monthly billing is the payment schedule for that twelve-month commitment. It is not a cancel-anytime, month-to-month subscription, and it exists to spread the cost of the Initial Term rather than to shorten it.
Stopping payment does not end the obligation. Cancelling your subscription, revoking or reversing your payment authorization, disputing a charge, or otherwise ceasing payment during the Initial Term does not terminate this agreement and does not eliminate your contractual obligation to pay the fees for the Initial Term.
If, during the Initial Term and other than for an uncured material breach by ConstructIQ under section 6, you terminate, purport to cancel, revoke payment authorization, or otherwise fail to pay when due, the remaining unpaid fees for the balance of the Initial Term become immediately due and payable.
The Founding 10 rate is offered in exchange for this twelve-month commitment. Membership is not cancellable for convenience, including because you change strategy, no longer need the service, do not act on the intelligence delivered, do not achieve an investment or business outcome, stop using the service, or experience changes in personnel or budget.
You keep a remedy for genuine material non-performance. If ConstructIQ materially breaches this agreement, you may:
If ConstructIQ fails to cure a material breach within that period, you may terminate the remaining Initial Term. Where you have prepaid and undelivered service remains, the undelivered portion is refunded under section 14 of the Terms of Service. Termination under this section does not trigger the acceleration described in section 5.

The $6,900 Annual Prepay is a one-time payment covering the full twelve-month Initial Term, paid by Stripe ACH / US bank account. It does not automatically renew at $6,900 or at any other amount, and it does not create a recurring annual charge. It does not include a thirteenth month or any additional free period.
The Annual Prepay is subject to the same non-cancellable Initial Term as the Monthly option (section 5), and is non-refundable once the Initial Term has commenced, subject only to the material-breach protection in section 6 and to any rights that cannot be waived under applicable law.
At the end of the Initial Term, continuation is arranged separately with you.
Founding 10 pricing is fixed for your first twelve (12) months only. It is not a lifetime, perpetual or permanently grandfathered rate. Any continuation after the Initial Term is offered at ConstructIQ's then-current commercial terms and requires a new agreement.
ACH bank debits are not instantaneous. Settlement typically takes 4 to 5 business days, and a debit may be returned after it initially appears successful. If you verify your bank account by entering details manually rather than by instant bank linking, allow a further 1 to 2 business days for verification before the debit begins.
Your Initial Term and service obligations begin on settlement, not on submission of payment.
Founding 10 deliverables are licensed to you for your internal business use only, on the terms set out in section 6 of the Terms of Service. In summary, you may not resell, sublicense or commercially redistribute deliverables; share them with unrelated organizations; share credentials outside your authorized users; systematically scrape or extract data; or reverse engineer or attempt to replicate ConstructIQ's proprietary research methodology, source architecture, CIS™, Relationship Path™, workflows or automation.
ConstructIQ retains ownership of all underlying methodology, platform, scoring, templates and intellectual property. Deliverables may be watermarked or fingerprinted for attribution and security, and access may be suspended where there is credible evidence of credential sharing or unauthorized redistribution.
Founding 10 fees are non-refundable once the Initial Term has commenced, whether paid monthly or as the Annual Prepay. This reflects the twelve-month commitment described in section 5.
ConstructIQ will nonetheless correct or refund charges for duplicate charges, charges made in error, termination by ConstructIQ without cause where prepaid service remains undelivered, an uncured material breach by ConstructIQ under section 6, and any refund required by applicable law. Section 14 of the Terms of Service sets out the full refund position.
Before payment can be completed, you must affirmatively accept these Order Terms and the Terms of Service at checkout. The acceptance control is not pre-selected, and payment cannot proceed until acceptance is given. ConstructIQ records the Terms of Service version and Order Terms version accepted, the date and time of acceptance, and the purchaser name, business or company name and email address provided at checkout, so that the accepted text can be reconstructed later.
